The Police Jury of Calcasieu Parish, Louisiana, met in regular session at 5:30 p.m. on Thursday, January 20, 2000, in the Police Jury Room on the first floor of the Parish Government Building, 1015 Pithon Street, Lake Charles, Louisiana, with the Honorable Charles S. Mackey, D.D.S., President, presiding, and the following members present:

Mesdames Luvertha August, Elizabeth C. Griffin, and Sandra J. Treme; and Messrs. Francis Andrepont, Algie Breaux, Brent Clement, Calvin Collins, Mike Danahay, Enos Derbonne, Chuck Kleckley, Chris Landry, Hal McMillin, Don Manuel, and Cornelius "Cornie" Moon

Also present were Mr. S. President Mackey called the meeting to order, and the invocation was pronounced by Monsignor Harry Greig, Immaculate Conception Cathedral, which was followed by the Pledge of Allegiance led by Mr. Derbonne. The roll was called with the result being as outlined above.

Motion was made by Mrs. August, seconded by Mrs. Griffin and carried unanimously that the minutes of the regular meeting of the Police Jury dated December 16, 1999, be approved and that the reading of same be dispensed with.

President Mackey advised that no action was needed on applications for liquor and beer permits due to the fact that no applications had been submitted.

"A Look at the Past, and a Vision for the Future"

In welcoming everyone to the first meeting of the Police Jury for the 2000 term, and my first meeting as your President, I appreciate the privilege of taking a few minutes of the meeting tonight to share some thoughts as we begin our journey.

I've entitled this presentation "A Look at the Past and a Vision for the Future". I asked Mark and his staff to assist me on how best to present this, and he suggested that it would help to use some slides to accompany my comments, so in a few moments you can direct your attention to the screen.

As matters of time are recorded, this beginning of the 21st century and beginning of the 3rd millennium is significant, and I feel we should be mindful of our journey to this point, and the accomplishments that brought us here. We are fortunate in that we have a head start on the new century due to cornerstones laid in the century just past.

We now have a unique opportunity to set goals for our term that will expand our vision far beyond what is here today.

Let's take a quick look at the building blocks this governing body has set over the past ten years or so.

Several facilities within our Courthouse Complex have been constructed or upgraded during the last decade:

We completed restoration and renovations to our 1912 courthouse, preserving its dignity while enhancing its functionality.

Also included in the same package was the construction of a new Judicial Center and Correctional Center, as well as an addition to the District Attorney's Office.

All of these facilities were paid for with a ½ cent parishwide sales tax which the Police Jury terminated after only 23 months of levy and collection, and a state grant worth 10½ million dollars.

The Magnolia Building, purchased with residual funds from the Public Trust Authority instead of taxpayer dollars, continues to be a great investment. In addition to being a revenue generator, it is a great resource for the expanding demands of court-related activities.

With continued growth in the Parish, the demands on Public Works and other parish departments have increased:

The Police Jury has responded to these demands by performing renovations to our West Maintenance Facility, and constructing a new, badly needed East Maintenance Facility. In the 1990's we also constructed new state-of-the-art facilities for the Animal Control and Mosquito Control operations.

With a growing seniors population and the additional programs serving their needs, we responded with the construction of our new Office of Community Services Building and Senior Center located at 8th Avenue and 3rd Street.

And to better serve the extremely important agricultural sector of our economy, we provided for the construction of the new Agricultural Services Building at the site of the Burton Coliseum for the County Agent's offices and activities.

Many of our innovative programs have centered around Public Works:

Our road hardsurfacing program, initiated under passage of the 1992 sales tax, is perhaps the Policy Jury's premiere achievement of the '90's. The total number of primary and secondary roads hardsurfaced in this program to date comes to 1,015, which represents over 456 road miles.

Our Road & Drainage Trust Fund has awarded an amount approaching $6 million in grants since inception of the program, and to date has resulted in an additional investment of $15.8 million dollars in capital projects throughout the Parish. This "one-of-a-kind" program was developed and funded with no new taxes.

The solid waste collection and disposal program (also funded with the 1992 sales tax) continues to be a valuable service to citizens, and has significantly reduced the volume of litter in our road rights-of-way, as well as providing significant savings by bidding this service under one contractor.

Another area where the Police Jury has shown its progressiveness is partnerships:

Our work with the Port of Lake Charles has produced many positive accomplishments. Two large industries - Global Industries and Unifab - are here as a result of cooperative agreements among our respective agencies.

Financial commitments to expansion projects at Lake Charles Regional Airport and Southland Field, as well as road improvements at the West Calcasieu Port facilities, highlight the Police Jury's dedication to teamwork in economic development efforts.

We also have the Contract Post Office at the newly named Allen August Multi-Purpose Center as a joint effort with the City of Lake Charles to provide additional local mail service.

In 1999 we began a partnership with Calcasieu Parish Constables to put some teeth behind litter laws by initiating effective enforcement to address a problem that has plagued our parish and state for years.

These are just a few examples of cooperative endeavors that the Police Jury participates in on a regular basis, and are absolute evidence that we have "put our money where our mouths were."

But, lest anyone think the Police Jury has just spent its money well, let me remind everyone of the action taken by this body to save the taxpayers $7.6 million dollars over 10 years in the form of reduced taxes due to paying down the library construction debt with gaming revenues.

Over the past decade, excellent leadership by this body and a strong and dedicated workforce helped to achieve these and many other great things. Succeeding in the new century will require as much and probably more of the same leadership and vision that has brought us to this juncture. The challenges are great, so our desire to meet them must be greater.

I'd like to highlight some opportunities for progress that I think are of great importance as we craft a vision for Calcasieu Parish.

Sewerage and drainage are high on the list. We should emphasize more the parishwide nature of these services, and customize their management with this in mind. Perhaps a drainage department operated similarly to, or maybe even in conjunction with, our Public Works East and West operations would create greater efficiencies and more productivity.

New regulatory actions relative to sewerage in subdivision developments, and expanded partnerships with cities for sewerage treatment will likely be key components of any solution to the growing residential sewer discharge problem.

Due to growth pressures that are likely to continue, we must plan well for major transportation enhancements. It is not far-fetched to consider the merits of traffic Loops to the North and South of our major metro areas serving as connecting arteries between ever-growing areas in the parish. We must also begin looking at another bridge across the Calcasieu River south of the I-210 bridge. Israel LaFleur was ridiculed for many years about his dream of a bridge that ultimately was built as part of I-210. Where would we be today without that bridge? We must have his vision, his grit, and his willingness to risk ridicule that sometimes results from voicing ideas that are perhaps, too futuristic for some to embrace.

As our population growth continues, we need to plan for more green spaces with family activities in mind. As more multi-family housing units are developed to accommodate new, young families, it becomes more important than ever to offer more outdoor recreational options.

To help pay for these type of long term initiatives, we should utilize the gaming funds we receive to our future advantage. We have shared some of these funds with other public bodies to spread this good fortune across the parish, and the funds have helped these entities. However, many recent uses of gaming funds have been on "feel good " programs. I hope we now take a more long range look at this opportunity while it is still here, and build some new cornerstones the parish can use long after our term of stewardship has passed.

As we look ahead, we should not neglect the need to keep up with the technology explosion which will continue to have an impact on virtually every service we provide. We also need to provide appropriate office space and expanded parking facilities in this complex to accommodate the increased program demands and the citizens these programs serve. We should also continue to seek partnerships that give our citizens the best return for the tax dollars they invest, not only with us, but the other area public entities as well.

The items I have highlighted are just some of the areas where this Police Jury can have a significant impact in Calcasieu Parish, at this, the dawning of the 21st century. Our recently adopted slogan sets forth in just 3 words what we as a Police Jury are supposed to be about - SERVICE, VISION, LEADERSHIP. Three words-seven syllables, that hold the key to our successes of the past and our promise for the future. What a great opportunity we have to start anew, continuing to breathe life into that slogan and all that it stands for. As we begin this journey together, I look forward to working as part of this winning team - with each of you, our professional staff, and our trained workforce, to ensure that this slogan defines us as a Police Jury.

This year, and hopefully for years to come, I would encourage us to embrace a new, "inside the organization" challenge statement as a companion to our slogan: "Let's get better at being good".

Mr. Richard Gremillion and Mr. Jerry Merchant, President of the Louisiana Fire Chiefs Association, presented volunteer firefighter awards for 1999 to the following persons: Eric D. Guidry, Ward Two Fire Protection District No. One (Bell City/Hayes); Roger Henry, Ward Three Fire Protection District No. Two (Cajun Country); Andy Clopton, Ward Four Fire Protection District No. Two (Carlyss); James Gentry, Ward Four Fire Protection District No. Three (Westlake); John Daigle, Ward Four Fire Protection District No. Four (Houston River); John LeBleu, Ward Eight Fire Protection District No. Two (LeBleu Settlement); Thomas Daugereaux, Jr., Ward Six Fire Protection District No. One; and Kevin Merchant, Vinton Volunteer Fire Department.

A plaque was then presented to Mr. James Gentry, overall winner for the Parish Volunteer Firefighter of the Year award.

President Mackey advised that action was needed on Zoning Case RZ01-001-00, which was a request by Chaney Development, Inc. to rezone from R-MHP (Manufactured Home Park) to R-1 (Single Family Residential) to allow residential development to correlate with subdivision restrictions on Empress Drive in Ward One, Police Jury District 1. He further advised that the Planning and Zoning Board had voted unanimously to recommend that the request be granted.

Motion was made by Mrs. August, seconded by Mrs. Griffin and carried unanimously that the recommendation of the Planning and Zoning Board be upheld with respect to Zoning Case RZ01-001-00 and that the request to rezone be granted; whereupon, the following ordinance was adopted:

President Mackey advised that action was needed on Zoning Case RZ05-004-00, which was a request by Grace J. Doyle to rezone from I-1 (Light Industrial) to A-1 (Agricultural) to allow residential development (manufactured home) at 4845 Lou Farley Road in Ward Five, Police Jury District 11). He further advised that the Planning and Zoning Board had voted unanimously to recommend that the request be granted with the stipulation that the development adhere to the site plan submitted to the Division of Planning and Development.

It was moved by Mr. Andrepont, seconded by Mrs. Griffin and carried unanimously that the recommendation of the Planning and Zoning Board be upheld with respect to Zoning Case RZ05-004-00 and that the request to rezone be granted with the stipulation outlined by said Board; whereupon, the following ordinance was adopted:

WHEREAS, notification has been received that application for a Department of the Army Permit has been made to the U.S. Corps of Engineers, and application for a Water Quality Certification (WQC) has been made to the Louisiana Department of Environmental Quality by Robert E. Guillory, Jr. to install and maintain rip-rap and fill for erosion protection located in Prien Lake, eastern shore, at Lock Point, Lake Charles, in Calcasieu Parish, Louisiana; and

WHEREAS, the staff of the Division of Planning and Development has evaluated the proposal of Robert E. Guillory, Jr. relative to its compliance with current parish ordinances and provisions, such as zoning classification, flood zone regulations, coastal zone regulations, and required development permits, as well as its impact on the Parish Transportation Systems; and

WHEREAS, upon completion of evaluation, the staff of the Division of Planning and Development concluded there is no cause for objection of the permit application based on parish ordinances and provisions, provided a development permit is obtained from the Parish Division of Planning and Development prior to commencement of the project.

NOW THEREFORE,

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, convened in regular session on the 20th day of January, 2000, that it does hereby indicate no objection to the proposal of Robert E. Guillory, Jr. to install and maintain rip-rap and fill for erosion protection located in Prien Lake, eastern shore, at Lock Point, Lake Charles, in Calcasieu Parish, Louisiana, provided said work meets with the rules and regulations of the Corps of Engineers and the Louisiana Department of Environmental Quality, and approvals are received from all appropriate state and federal agencies, and further, that a development permit be obtained from the Parish Division of Planning and Development prior to commencement of the project.

BE IT FURTHER RESOLVED that the no objection position of the Police Jury in this permit application is based solely on the evaluation of the parish staff of the project's effect on current parish ordinances and provisions.

BE IT FURTHER RESOLVED that a study on the environmental impact of the aforementioned project has not been made due to the lack of expertise of the parish staff to accomplish such a study, and the Police Jury requests that agencies and/or individuals with such expertise make an environmental review of said project and forward their findings to the U.S. Corps of Engineers.

Miller to install and maintain bulkheads and fill for erosion control and a home site located off the Calcasieu River, left descending bank, at a point 42.7 miles above the mouth of the waterway, at Lake Charles, within the city limits of the City of Lake Charles; and

WHEREAS, the staff of the Division of Planning and Development has evaluated the proposal of E. J. Miller relative to its compliance with current parish ordinances and provisions, such as zoning classification, flood zone regulations, coastal zone regulations, and required development permits, as well as its impact on the Parish Transportation Systems; and

WHEREAS, upon completion of evaluation, the staff of the Division of Planning and Development concluded there is no cause for objection of the permit application based on parish ordinances and provisions, since the project is located within the city limits of the City of Lake Charles.

NOW THEREFORE,

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, convened in regular session on the 20th day of January, 2000, that it does hereby indicate no objection to the proposal of E. J. Miller to install and maintain bulkheads and fill for erosion control and a home site located off the Calcasieu River, left descending bank, at a point 42.7 miles above the mouth of the waterway, at Lake Charles, since said project is located within the city limits of the City of Lake Charles.

WHEREAS, the staff of the Division of Planning and Development has evaluated the proposal of Dallas Cradeur relative to its compliance with current parish ordinances and provisions, such as zoning classification, flood zone regulations, coastal zone regulations, and required development permits, as well as its impact on the Parish Transportation Systems; and

WHEREAS, upon completion of evaluation, the staff of the Division of Planning and Development concluded there is no cause for objection of the permit application based on parish ordinances and provisions, provided a development permit is obtained from the Parish Division of Planning and Development prior to commencement of the project.

NOW THEREFORE,

WHEREAS, notification has been received that application for a Department of the Army Permit has been made to the U.S. Corps of Engineers, and application for a Water Quality Certification (WQC) has been made to the Louisiana Department of Environmental Quality by Gravity Drainage District No. Four to conduct maintenance dredging and deposit dredge material in waters of the United States for drainage improvements, located in lateral L-2B of lateral W-13, which is tributary to English Bayou, in Section 18, Township 9 South, Range 7 West, and Section 24, Township 9 South, Range 9 West, in Calcasieu Parish, Louisiana; and

WHEREAS, the staff of the Division of Planning and Development has evaluated the proposal of Gravity Drainage District No. Four relative to its compliance with current parish ordinances and provisions, such as zoning classification, flood zone regulations, coastal zone regulations, and required development permits, as well as its impact on the Parish Transportation Systems; and

WHEREAS, upon completion of evaluation, the staff of the Division of Planning and Development concluded there is no cause for objection of the permit application based on parish ordinances and provisions, provided a development permit is obtained from the Parish Division of Planning and Development prior to commencement of the project.

NOW THEREFORE,

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, convened in regular session on the 20th day of January, 2000, that it does hereby indicate no objection to the proposal of Gravity Drainage District No. Four to conduct maintenance dredging and deposit dredge material in waters of the United States for drainage improvements, located in lateral L-2B of lateral W-13, which is tributary to English Bayou, in Section 18, Township 9 South, Range 7 West, and Section 24, Township 9 South, Range 9 West, in Calcasieu Parish, Louisiana, provided said work meets with the rules and regulations of the Corps of Engineers and the Louisiana Department of Environmental Quality, and approvals are received from all appropriate state and federal agencies, and further, that a development permit be obtained from the Parish Division of Planning and Development prior to commencement of the project.

BE IT FURTHER RESOLVED that the no objection position of the Police Jury in this permit application is based solely on the evaluation of the parish staff of the project's effect on current parish ordinances and provisions.

BE IT FURTHER RESOLVED that a study on the environmental impact of the aforementioned project has not been made due to the lack of expertise of the parish staff to accomplish such a study, and the Police Jury requests that agencies and/or individuals with such expertise make an environmental review of said project and forward their findings to the U.S. Corps of Engineers.

Motion was made by Mr. Andrepont, seconded by Mrs. August and carried unanimously that the Parish Administrator be authorized to advertise for bids for Calcasieu Parish Project No. 2000-02 (Ward 1 - Coffey Road and You Winn Road). In answer to a question by Mr. McMillin, Mr. Smart advised that this project should be completed in September of 2000.

It was moved by Mr. Andrepont, seconded by Mrs. August and carried unanimously that the Parish Administrator be authorized to advertise for one one-half ton short wheel base pickup truck (Mosquito Control), two three-quarter ton pickup trucks with utility beds (Parks Department), one one-ton truck with utility bed (Vegetation Department), two lasers (Special Drainage Crew), four cab and chassis bobtail dump trucks (Road Division), one bobcat hoe with trailer (Road Division), one heavy duty trailer (Road Division), and two boom mowers with flails (Road Division), in accordance with the Fiscal Year 2000 Budget.

Upon motion made by Mrs. August, which was duly seconded by Mr. Clement and carried unanimously, the following resolution was adopted:

RESOLUTION

A RESOLUTION declaring as a surplus a wood frame house located at 718 Dora Street in Lake Charles, Ward Three of Calcasieu Parish, as described herein, which is no longer needed for the public good, in accordance with LSA R.S. 33:4712.

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, convened in regular session on the 20th day of January, 2000, that it does hereby declare as a surplus a wood frame house located at 718 Dora Street in Lake Charles, Ward Three of Calcasieu Parish, in accordance with LSA R.S. 33:4712.

BE IT FURTHER RESOLVED that the minimum value of the above described property is hereby established as $1,500, and any purchaser of this property must at least pay this value as well as any additional costs of closing the sale.

BE IT FURTHER RESOLVED that this resolution shall be published once at least fifteen days prior to the date of the sale, and the sale shall be made to the person with the highest bid.

BE IT FURTHER RESOLVED that any action, resolution, ordinance, or part thereof, in conflict herewith is hereby repealed.

Motion was made by Mr. Andrepont, seconded by Mrs. August and carried unanimously that the Parish Administrator be authorized to enter into negotiations with the Board of Commissioners of Ward Six Fire Protection District No. One for the purchase and/or lease of Fire District property located at 1601 Holbrook Park Road, more particularly the Southwest Louisiana Firemen Training Center, with the Parish Administrator to report back to the Police Jury for any necessary final action.

It was moved by Mrs. Griffin, seconded by Mr. Derbonne and carried unanimously that the following resolution be adopted:

RESOLUTION

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, in regular session convened on the 20th day of January, 2000, that it does hereby approve an amendment to the lease between the Police Jury and Chennault International Airport Authority providing for the lease of additional property.

BE IT FURTHER RESOLVED that the President of the Police Jury is authorized to execute all documents related thereto.

With reference to the foregoing resolution, Mr. Andrepont stated that he and Mr. Kleckley, liaisons to the Chennault International Airport Authority, had met with Mr. Max Jones and Mr. George Heard of said Authority and were well pleased with said meeting. Mr. Kleckley agreed, stating that he was excited about the progressive approach being taken by Mr. Jones and Mr. Heard which would allow greater opportunities for more jobs and more revenue for Chennault. He further stated that when the existing tax expired in five years, hopefully Chennault would be self-sufficient and would not need to depend on tax dollars.

Upon motion made by Mr. Andrepont, which was duly seconded by Mrs. Griffin and carried unanimously, the following resolution was adopted:

RESOLUTION

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, in regular session convened on the 20th day of January, 2000, that it does hereby approve the renewal of a lease between the Police Jury and Anita N. Tritico for the lease of a building at the corner of Lakeshore Drive and Kirby Street for use by the Housing Department.

BE IT FURTHER RESOLVED that the President of the Police Jury is authorized to execute all documents related thereto.

Motion was made by Mrs. Treme, seconded by Mrs. August and carried unanimously that the Parish Administrator be authorized to execute a renewal of a lease with the Public Trust Authority, a tenant and user of the Magnolia Building, in accordance with parameters established by the Police Jury Liaison Group for such purpose.

It was moved by Mr. Manuel, seconded by Mrs. Griffin and carried unanimously that the following resolution be adopted:

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, in regular session convened on the 20th day of January, 2000, that it does hereby approve the renewal of aerial contracts with pilots Reagan Cook, Charles Bourne, Darrell Jacks, Robert Kingham, and Glenn Carter, with reference to the aerial spraying and other related aerial services for the Mosquito Control Department.

BE IT FURTHER RESOLVED that the President of the Police Jury is authorized to execute all documents related thereto.

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, in regular session convened on the 20th day of January, 2000, that it does hereby respectfully request the Calcasieu Legislative Delegation to attempt to amend Act 1329 of the 1999 Regular Legislative Session, which provides for the nomination, qualifications, and appointment of directors to the Southwest Louisiana Convention and Visitors Bureau, with said amendment to be for the purpose of ensuring an appropriate allocation of racial minority representation on the Board of Directors of this Bureau, similar to such provisions in the legislation providing for appointments to the Chennault International Airport Authority.

President Mackey advised that a report would be received at this time from the staff relative to an offer from the owners of the property at the southeast corner of the intersection of Gill and Pithon Streets, immediately south of the Parish Government Building, to sell said property to the Police Jury. Mr. McMurry advised that after a meeting with some of the owners of this property, as well as having talked to some investors in downtown real estate, his recommendation would be to follow the real estate acquisition policy which provides that an appraisal of the property be performed prior to any other action being taken.

Motion was made by Mr. Breaux, seconded by Mr. McMillin and carried unanimously that an appraisal be solicited of the subject property.

Upon motion made by Mr. Andrepont, which was duly seconded by Mrs. August and carried unanimously, the following resolution was adopted:

RESOLUTION

BE IT RESOLVED BY THE POLICE JURY OF CALCASIEU PARISH, LOUISIANA, convened in regular session on the 20th day of January, 2000, that it does hereby appoint Mr. Robert Davidson, to fill the unexpired term of Mr. Tom Redd, as a member of the Board of Commissioners of Calcasieu-Cameron Hospital Service District, said term to expire in August, 2000.

BE IT FURTHER RESOLVED that, in accordance with state law, the above referred to appointee shall be administered an oath of office by any judge, justice of the peace, clerk of court, or notary public duly appointed and qualified in the State of Louisiana.

BE IT FURTHER RESOLVED that the above-named appointee shall be administered the oath of office within thirty days following receipt of this resolution.

It was moved by Mrs. Treme, seconded by Mr. Clement and carried unanimously that with reference to the expiration of the term of Mr. Harris Hebert as a member of the Board of Commissioners of the Vinton Harbor and Terminal District, that Mr. Harris Hebert and Mr. Robert Dale Tatum be nominated. (Pursuant to LSA-R.S. 34:334.2, the Board of Commissioners will fill the vacancy upon submittal of two nominations by the Police Jury.)

Motion was made by Mrs. Treme, seconded by Mr. Manuel and carried unanimously that with reference to the vacancy on the Board of Commissioners of the Vinton Harbor and Terminal District which was created by the resignation of Mr. Jimmy Patin, that Mr. Billy Vice and Mr. Whit Baker be nominated to fill this vacancy. (Pursuant to LSA-R.S. 34:334.2, the Board of Commissioners will fill the vacancy upon submittal of two nominations by the Police Jury.)

President Mackey recognized Representative Elcie Guillory as being present at the meeting on this date.

President Mackey advised that Mr. J. C. Grove had been appointed by the Supreme Court of Louisiana as Justice of the Peace pro tempore in Ward Six effective January 13, 2000, through July 12, 2000, or until the vacancy was filled, whichever occurred sooner, at which time the appointment shall terminate. President Mackey further advised that this appointment was due to the recent death of Ward Six Justice of the Peace, Patrick Langley, and an election would be called by the Governor.

Motion was made by Mr. Andrepont, seconded by Mrs. August and carried unanimously that the Police Jury go into executive session to discuss Lawsuit No. 95-3561 (Frank vs. Police Jury et al) and Lawsuit No. 97-8335 (Collins vs. Police Jury).

Following the executive session, the Police Jury reconvened in regular session, and it was moved by Mr. Andrepont, seconded by Mrs. August and carried unanimously that the report given by legal counsel in executive session be approved.

There being no further business, President Mackey declared the meeting to be adjourned.
